Terms and Conditions

These Terms and Conditions("Agreement") govern the use of the services provided by BoogiTechnologies Ltd ("Company") to its users ("User" or"you"). By accessing or using the services provided by the Company,you agree to be bound by this Agreement. If you do not agree with any part ofthis Agreement, you must refrain from using the services.

2.3. The Company reserves the right tomodify, enhance, or discontinue any part of its services, temporarily orpermanently, without prior notice or liability.

3. User Obligations

3.1. By using the Company's services, youagree to comply with all applicable laws and regulations, including but notlimited to data protection and privacy laws.

3.2. You are responsible for providingaccurate and up-to-date information when registering an account or using theservices.

3.3. You agree not to:

a) Use the services for any illegal,fraudulent, or unauthorized purposes.

b) Modify, adapt, reverse engineer,decompile, or hack into the services or gain unauthorized access to theCompany's systems or networks.

c) Interfere with or disrupt the integrity orperformance of the services or attempt to circumvent any security measures.

d) Use the services to transmit any viruses,worms, malware, or other malicious code.

e) Violate the privacy rights of others orcollect or store personal information without proper consent.

f) Engage in any activity that may cause harmor damage to the Company or its reputation.

g) Create or distribute software,applications, or tools that interact with the Company's services without priorwritten consent.

4. Intellectual Property

4.1. All intellectual property rights,including but not limited to copyrights, trademarks, trade secrets, andpatents, in the services provided by the Company are owned by the Company orits licensors.

4.2. You agree not to reproduce, modify,distribute, sell, sublicense, or create derivative works based on the Company'sservices without prior written consent.

4.3. The Company may use and display yourlogo, trademarks, or company name for promotional purposes related to theservices unless otherwise agreed upon in writing.

5. Data Protection and Privacy

5.1. The Company is committed to protectingyour privacy and complying with applicable data protection laws, including theGeneral Data Protection Regulation (GDPR) and other relevant regulations.

5.2. By using the services, you acknowledgeand agree that the Company may collect, process, store, and disclose yourpersonal information as described in the Company's Privacy Policy.

5.3. The Company will take reasonablemeasures to protect the security and confidentiality of your personalinformation. However, the Company cannot guarantee absolute security and shallnot be liable for any unauthorized access, loss, or disclosure of personalinformation.

5.4. You agree to obtain all necessaryconsents from individuals whose personal information you provide to theCompany, and you shall indemnify and hold the Company harmless from any claimsarising from your failure to do so.

5.5. You grant the Company a non-exclusive,worldwide, royalty-free license to use, reproduce, distribute, and display yourdata for the purpose of providing the services and improving the Company'sproducts and services.

6. Payment Terms

6.1. The pricing and payment terms for theservices are described on the Company's website or as agreed upon in a separatewritten agreement between the Company and the User.

6.2. You agree to pay all fees and chargesassociated with the use of the services in a timely manner.

6.3. The Company reserves the right to modifyits pricing and payment terms upon reasonable notice to the User. Continued useof the services after the effective date of any changes constitutes youracceptance of the modified pricing and payment terms.

7. Limitation of Liability

7.1. The Company shall not be liable for anydirect, indirect, incidental, special, or consequential damages arising out ofor in connection with the use of its services, including but not limited to anyerrors or omissions in the services or the transmission of any viruses ormalware.

7.2. The Company does not guarantee theaccuracy, completeness, or reliability of any content or information providedthrough its services. You acknowledge that any reliance on such content orinformation is at your own risk.

7.3. The total liability of the Company,whether in contract, tort, or otherwise, shall be limited to the amount paid byyou, if any, for the use of the services during the six (6) months precedingthe claim.

8. Indemnification

8.1. You agree to indemnify and hold harmlessthe Company, its officers, directors, employees, and agents from and againstany and all claims, liabilities, damages, losses, costs, and expenses(including reasonable legal fees) arising out of or in connection with:

a) Your breach of this Agreement or anyapplicable laws or regulations.

b) Your use of the services.

c) Any content or information you submit,post, transmit, or make available through the services.

d) Any violation of third-party rights,including intellectual property rights.

9. Termination

9.1. The Company reserves the right tosuspend or terminate your access to its services at any time without priornotice or liability for any reason, including but not limited to violation ofthis Agreement.

9.2. Upon termination, your right to use theservices will immediately cease, and you shall promptly cease all use of theservices.

10. Governing Law andJurisdiction

10.1. This Agreement shall be governed by andconstrued in accordance with the laws of the United Kingdom.

10.2. Any disputes arising out of or inconnection with this Agreement shall be subject to the exclusive jurisdictionof the courts of the United Kingdom.

11. Modifications to theAgreement

11.1. The Company reserves the right tomodify or update this Agreement at any time without prior notice.

11.2. Any changes to the Agreement will beeffective upon posting the updated version on the Company's website. Yourcontinued use of the services after the posting of any changes constitutes youracceptance of the modified Agreement.
